Corporations and LLCs offer limited liability protection for business owners. However, if certain formalities aren't followed, these protections can be lost. I can advise you regarding the actions you need to take to ensure your business meets applicable legal requirements.

    Here are some legal tips for nonprofits.

    Tip # 1: Know the Bylaws. 

    A nonprofit’s bylaws specify the rules by which the corporation is governed.  For example, the bylaws will typically contain provisions setting forth the duties and powers of the board of directors.  When the board is making a decision, it is important to know whether there are any bylaw provisions affecting that decision.  For instance, some types of board action may require a two-thirds or three-fourths vote, rather than a simple majority.  Knowing whether the bylaws contain these types of requirements is critical to taking valid board action.

     Tip # 2: Maintain Appropriate Insurance. 

    Most nonprofits do not maintain large cash reserves.  Litigation, therefore, can be financially ruinous for a nonprofit.  To protect the nonprofit in the event of a lawsuit, the corporation should maintain appropriate insurance, including directors & officers (“D&O”) liability insurance.  Your insurance broker can help identify the appropriate amount of coverage and help you to understand which types of claims are and aren’t covered.

     Tip # 3: Keep Good Records. 

    Corporations offer limited liability protection.  However, this protection can be jeopardized if appropriate formalities aren’t followed.  All nonprofits should have good recordkeeping and records retention policies in place.  Written agendas and minutes should be prepared and maintained for all meetings and good accounting practices should be enforced to prevent commingling or misuse of funds.
